You represent that you are either (i) at least 18 years old, or (ii) of legal age to form a binding contract under the laws applicable in your jurisdiction, or (iii) have obtained valid parental or guardian consent. If we become aware that we have collected personal information from a minor without appropriate consent, we will take steps to delete such information promptly. To report such concerns, please contact us at legal@weareclario.com. This also applies when you download the Software from the Apple App Store or Google Play, or install it on an iOS or Android device.

2. 软件功能

2.1. 定义。

"MacKeeper Software" means the Company's proprietary software applications for the macOS operating system, for Apple's iOS and iPadOS operating systems and for the Android operating system (the iOS and Android applications, each a "Mobile App"). It covers each application in machine-readable object code form as issued by the Company under this Agreement, together with all associated features, functionality and services. It also includes all related documentation (such as user guides, help files, and subscription or renewal confirmations) and all Updates. Unless this Agreement states otherwise, every reference to the "Software" includes the Mobile App.

2.2. 账户注册与责任

In the Mobile App, you may also create an account or sign in with your Apple ID or Google account. Your use of Sign in with Apple or Sign in with Google is also subject to Apple's or Google's terms. You are responsible for keeping access to that Apple ID or Google account secure, because anyone who can sign in to it can access your MacKeeper account.

2.3. 功能。

Platform availability. Not all features are available on every platform. Apple and Google set technical restrictions on iOS and Android apps. Because of them, features that need system-level access may be unavailable or limited in the Mobile App. The Mobile App's current features are described on its App Store or Google Play product page and within the app. A Subscription does not entitle you to any feature on a platform where that feature is not offered.

2.4. 更新和升级。

At our sole discretion, we may provide updates, upgrades, or patches ("Updates") to MacKeeper to enhance functionality, improve security, or address vulnerabilities without requiring your consent. These Updates may include modifications, enhancements, or the removal of certain features. You agree that such Updates will become part of the Software and be governed by this Agreement. We are not obligated to provide any specific Updates, nor to maintain compatibility with previous versions of the Software or with specific operating systems. It is your responsibility to ensure that your device is capable of receiving and installing Updates. If any Update includes paid features, you will be notified and have the option to accept or decline the installation. Failure to install Updates may result in limited functionality or reduced effectiveness of the Software. Updates to the Mobile App are delivered through the Apple App Store or Google Play. Whether they install automatically depends on your device and App Store or Google Play settings. For issues, contact customer support at support@mackeeper.com.

2.5. VPN 功能和使用条款。

The monthly VPN data limit applies per account, combined across all devices and platforms on which you use the VPN, including the Mobile App. On iOS and Android the VPN uses the operating system's VPN configuration, which you must approve on your device before first use.

3. 许可授予和激活

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Software (including macOS desktop software and iOS and Android mobile applications) solely for your personal, non-commercial purposes on compatible devices owned by you, and subject to the terms of this Agreement. This license becomes effective upon activation via a special offer and remains valid for the duration specified in your subscription, starting from the first use. You may evaluate the Software with a one-time free fix per feature (excluding VPN); continued use requires a paid license. A personal License Code or Key may be issued to you and must not be shared, transferred, or disclosed without our prior written consent.

Google Play Specific Terms: If you access or download the Software via Google Play, you acknowledge and agree that:

• This Agreement is concluded between you and Company only, and not with Google LLC ("Google").

• Your use of the Android application must also comply with the Google Play Terms of Service.

• Google has no obligation whatsoever to furnish any maintenance or support services with respect to the Android application.

3.2. 在线激活。

You may install the Software on either (a) one shared device or (b) multiple personal devices, including Mac computers, iOS devices and Android devices, within reasonable limits. A license includes one mobile device activation, shared by iOS and Android devices: activating the license on another phone or tablet moves it from the previous one. In either case, you may not use more devices than your license allows or have more than one user at a time. License transfers between your own devices are permitted via your MacKeeper account, but licenses may not be transferred to third parties. We reserve the right to define and enforce reasonable usage limits, to deny or suspend activations that exceed those limits, and to invalidate licenses in the event of misuse or violation.

4. 知识产权和开源组件

5. 订阅、账单和取消条款

5.1. 订阅和续订。

通过订阅本软件，您同意根据购买时显示的计划（“订阅”）和定价支付所有适用的费用。 订阅按循环基础（每月、每年或另有说明）预先计费，并将在每个计费期结束时自动续订，除非在续订前取消。 我们将提前通知您任何即将自动续订的订阅，包括任何价格或条款的更改，如果适用法律要求。 通知将发送到您账户关联的电子邮件地址或通过应用内消息传递。 您有责任确保您的联系信息准确无误。 续订后继续使用本软件即表示接受续订的订阅和任何更新的条款。

5.2. 促销折扣。

我们可能会不时提供限时折扣、免费试用或促销定价。 此类优惠可随时更改或撤回，并且仅在优惠时指定的条款下有效。 折扣可能仅适用于初始订阅期，除非另有明确说明，并且不会自动延续到续订。 订阅费用的任何更改将提前通知，并且仅适用于随后的计费周期。

5.3. 取消条款。

5.6 App Store 购买

通过 iOS 应用程序以应用内购买方式购买的订阅，将在确认购买时记入您的 Apple ID 账户，并由 Apple 处理付款并记入您的 Apple Account。对于此类购买：

• (a) 计费、自动续订、取消和退款仅由 Apple 根据 Apple 的条款处理，而非由本公司处理。

5.7 Google Play purchases

Subscriptions purchased through the Android application via Google Play will be charged to the payment method in your Google account upon confirmation of purchase, and Google processes the payment. For these purchases:

• (a) Billing, automatic renewal, cancellation and refunds are handled solely by Google under the Google Play Terms of Service and Google Play's policies, not by the Company.

• (b) To stop automatic renewal, you must cancel the subscription in Google Play (Payments & subscriptions → Subscriptions) before the end of the current billing period. Your Subscription remains active until the end of that period.

• (c) Refund requests must be submitted to Google under Google Play's refund policies. The Company cannot issue refunds for Google Play purchases.

• (d) Prices, free trials and introductory offers are shown on the Google Play purchase screen before you confirm payment.

A Subscription purchased directly from the Company may be used in the Mobile App on iOS or Android by signing in to your MacKeeper account. Such a Subscription remains governed by Sections 5.1 to 5.5 and must be managed and cancelled through the Company.

6. 家庭计划条款。

The Family Plan is a Company offering and is separate from Apple Family Sharing. Apple Family Sharing applies to a Mobile App purchase only if Apple enables it for that specific in-app purchase. Subscriptions purchased through Google Play cannot be shared through Google Play Family Library.

7. 高级服务

8. 用户反馈和提交

12. 赔偿、出口管制、法律合规

您同意赔偿、捍卫并使 Clario Tech FZCO 及其关联公司、高级职员、董事、员工、代理和许可方免受因以下原因引起或与之相关的任何索赔、责任、损害、损失和费用（包括合理的律师费）：(a) 您使用或滥用本软件；(b) 您违反本协议；或 (c) 您违反任何适用法律或第三方权利。 您进一步同意遵守所有适用的出口管制和经济制裁法律法规，包括美国、欧盟和任何其他相关司法管辖区的法律法规。 您声明并保证您不位于、不受控制于或不属于任何受出口限制或制裁的国家/地区，并且您未列入任何被禁止或受限制的方名单。 您不得使用、出口、再出口或转让本软件，除非适用法律授权。

13. 不可抗力

如果任何一方未能或延迟履行本协议项下的义务，且此类未能或延迟是由于超出其合理控制范围的情况造成的，包括但不限于天灾、自然灾害、战争、恐怖主义、内乱、劳工罢工、政府行为、停电、互联网或网络中断，或第三方服务故障，则任何一方均不对此承担责任。 受此类事件影响的义务将在事件持续期间暂停。 受影响的一方应尽合理努力尽快恢复履行。

14. 终止

本协议在终止前有效。您可以通过停止使用本软件、删除您的账户、取消订阅和卸载本软件随时终止本协议。 有关如何卸载本软件的信息可以在此处找到。 请注意，卸载本软件不会停止定期付款，在您通过适当渠道正式取消订阅之前，您仍需承担任何费用。 如果您未能遵守其条款或本软件不再提供，我们可能会终止本协议。 终止后，您根据本协议获得的所有权利将立即终止，并且您必须卸载并销毁您拥有或控制的所有本软件副本。 此外，我们保留随时终止或停止提供免费试用或技术支持下的任何服务的权利，恕不另行通知。 终止不会影响其性质上应继续存在的任何条款，包括但不限于知识产权、免责声明、责任限制、赔偿和管辖法律。

Uninstalling the Software or deleting the Mobile App does not cancel your Subscription or stop recurring payments. You remain responsible for any charges until you cancel through the appropriate channel: your MacKeeper account for direct purchases (Section 5.3), your Apple Account settings for App Store purchases (Section 5.6), or Google Play for Google Play purchases (Section 5.7).

15. 管辖法律和司法管辖区，集体诉讼豁免

除强制性当地消费者保护法律适用外，本协议应受英格兰和威尔士法律管辖并根据其解释，不包括其法律冲突原则。 如果您有任何问题、疑虑或投诉，您必须首先尝试通过善意协商至少 30 个工作日来解决，方法是向 legal@weareclario.com 发送书面通知。 如果在协商期内未能达成解决方案，争议将通过根据伦敦国际仲裁法院 (LCIA) 规则进行的仲裁解决，该规则通过引用纳入本条款。 仲裁应在英国伦敦进行，以英语进行，并由一名独任仲裁员审理。 仲裁员的决定应是最终和有约束力的。

If no resolution is reached within the negotiation period, the dispute will be resolved by arbitration under the Rules of the London Court of International Arbitration (LCIA), which are incorporated by reference into this clause. The arbitration shall take place in London, United Kingdom, conducted in English, and heard by a single arbitrator. The decision of the arbitrator shall be final and binding.
