End User License Agreement

1. INTRODUCTION
This End User License Agreement ("Agreement") is a legal contract between You (an individual or legal entity, hereinafter “you” or “licensee”) and Clario Tech DMCC ("Company," “we”, “us”, or “Licensor”), governing your use of MacKeeper Lite software (as defined below).
By using MacKeeper Lite, you confirm and agree that it may be distributed by the Company and its authorized resellers, whose activities are governed by this Agreement’s terms and conditions.
This Agreement is intended for individuals who are at least 16 years of age or older, or the minimum age required by applicable laws in your country, or those with verified parental or guardian consent. By accepting this Agreement, you confirm that you meet this age requirement. If we determine that we have collected data from a user under this age without proper consent, we will promptly delete such data. If you believe we may have inadvertently collected data from a minor, please contact us at support@mackeeper.com.
By downloading, installing, or using the software, you agree to comply with this Agreement. If you do not agree, please refrain from using the software. We reserve the right to terminate this Agreement or modify eligibility requirements at any time, as permitted by law.
Continued use of the software after any modifications to this Agreement constitutes your acceptance of those changes. If you disagree with any updates, your sole remedy is to cancel your subscription and uninstall the software.

2. SOFTWARE
MacKeeper Lite (or software), including its features, services, and accompanying documentation, is licensed—not sold—to you by the Company. The Company retains all rights not expressly granted in this Agreement, including access to the source code. MacKeeper Lite is compatible with macOS.
MacKeeper Lite offers a comprehensive suite of tools for cleaning, security, optimization, and privacy, primarily through the Find & Fix Plugin which enables one-click scans for system cleanup, performance boosts, and privacy checks.

Cleaning:
- Safe Cleanup: Removes junk files, logs, caches, and more, with reminders to keep your system clean.
- Duplicates Finder: Identifies and removes duplicate files to free up disk space.
Performance:
- Update Tracker: Scans for and updates outdated applications in one click.
- Login Items: Manages startup items to improve boot time.
Privacy:
- ID Theft Guard: Monitors the web for data breaches, alerts on compromised emails, and supports password management.
Security:
- Antivirus: Provides real-time protection, blocking viruses, spyware, adware, and ransomware.
- Adware Cleaner: Detects and removes adware and potentially unwanted applications (PUA).
Some features require a stable Internet connection to function effectively, which you must ensure on your end. We will notify you of any significant changes to MacKeeper Lite via email, in-app notifications, or our website.

3. LICENSE GRANT
We grant you a limited, non-exclusive license to download, install, and use MacKeeper Lite for personal, non-commercial use until you or us terminate this Agreement. Activation begins with a special offer, providing full functionality for the specified duration from first use.
Key Terms:
- Trial Use: A free, one-time fix for each feature is available. Continued use requires a license purchase.
- License Code: A personal license key may be provided, for personal use only. Sharing or distributing this code is prohibited unless approved in writing by us.
- Online Activation: Upon purchasing, MacKeeper Lite must be activated online, requiring an internet connection and some personal information (see our Privacy Policy). The license is valid only on the specified number of devices; additional activations may require the Company’s approval.
- Device Limit & Transfer: This license allows use on (a) one shared computer or (b) multiple personal computers but only one active device at a time. Transfers between your computers can be managed through your MacKeeper Lite account, but use is restricted to you alone.
We reserve the right to define "reasonable limits" for activations and may suspend or void the license if usage exceeds these limits.

4. COPYRIGHT AND RESTRICTIONS
All rights, title, and intellectual property in the MacKeeper Lite and its elements (text, graphics, characters, audio-visuals, etc.) belong solely to the Company or its licensors. We reserve any rights not expressly granted to you. You agree not to modify, reverse engineer, decompile, or attempt to alter the MacKeeper Lite functionality. All copyright and proprietary notices must remain intact, and you may not replace or alter any libraries or resources in the MacKeeper Lite. The MacKeeper Lite is protected by copyright laws and international treaties.

5. AUTODIALING CONSENT CLAUSE
You may share your phone number with us during registration, while using the Services, or in communication with Clario representatives. By accepting this Agreement and/or providing your phone number, YOU EXPRESSLY CONSENT to receive marketing and promotional calls, texts, and pre-recorded messages or artificial voice messages from Clario at the number provided whether it is a residential landline or wireless (cell) phone. These may include information on our products, services, offers, or promotions and may be delivered via automated technology. You can opt-out any time as provided herein.
Consent and Opt-Out Options. By providing your telephone number and accepting these terms, you consent to receive calls from us as described above. Consent is not required for purchases. You may opt out of receiving these communications at any time by following instructions in the message or contacting us at support@mackeeper.com. Standard carrier charges may apply. Please note that opting out of promotional messages will not affect our ability to contact you for non-promotional, service-related purposes

6. OPEN-SOURCE SOFTWARE
MacKeeper Lite may include third-party open-source components (“Open-Source Code”) distributed under their respective licenses. We provide these components according to the terms of their Open-Source licenses, which define your rights and obligations. Copies or references to these licenses are included in the software’s documentation.

7. SUBSCRIPTION
MacKeeper Lite is available by subscription (“Subscription”) and is billed in advance on a recurring basis (“Billing Cycle”), typically monthly or annually, based on your chosen plan. Your Subscription will automatically renew at the end of each Billing Cycle unless you cancel it via your MacKeeper Lite account settings or by writing us at support@mackeeper.com.
Family Plan. The Family subscription plan (“Family Plan”) includes three separate licenses, allowing you to share with family members or friends under the terms of this Agreement. The Family Plan is eligible for refunds as outlined in our Refund Policy section herein. Once purchased, the terms of the Family Plan cannot be modified. Licenses in the Family Plan cannot be combined, extended, or partially refunded if fewer than three licenses are used.
Canceling Automatic Renewal. To stop automatic renewal before your next billing date, either contact us directly by writing at support@mackeeper.com, or log in to your MacKeeper Lite account to cancel. Cancellations typically take effect within a few hours. Your subscription will remain active until the end of the paid term, after which it will expire without renewing.

8. REFUND POLICY
Semi-Annual and Annual Subscriptions: Purchases of semi-annual and annual subscriptions are eligible for a full refund under our 30-day Money Back Guarantee if requested within 30 days of the purchase date. After 6 months of use, the subscription becomes non-refundable.
Monthly Subscriptions: Monthly subscriptions are eligible for a full refund if requested within 14 days of the purchase date.
For any requests outside these periods, refunds may be considered on a case-by-case basis at our discretion. If you encounter issues with our refund request form, please contact us directly at support@mackeeper.com.
Once we receive your refund request, we will review it and respond within 1 to 5 business days, provided it meets the conditions outlined here. Refunds typically take 5 to 15 business days to process, depending on your bank’s timeline. Please note that processing fees are non-refundable.
After cancellation or refund, please uninstall and delete all copies of the software from your devices. Once refunded, further use of MacKeeper Lite is prohibited, and all licenses are voided.
Please note that any subscription payment dispute, including chargeback, will lead to the permanent termination of a subscription, regardless of the dispute outcome. These subscriptions will not be reinstated under any circumstances.

9. UPDATES AND UPGRADES
We may occasionally deploy updates or upgrades (“Updates”) to MacKeeper Lite during the billing cycle without separate consent. These Updates are part of the software under this Agreement and may add, change, or remove features. We determine the content and timing of Updates, and to maximize functionality, all Updates may need to be installed. Support may be paused until Updates are accepted. We also may end support for older versions, focusing only on the latest version. If an Update includes any paid features, you will be notified through the software, with the option to decline or uninstall if preferred. For assistance, contact us at support@mackeeper.com.

10. FEEDBACK
You agree that, if you submit or provide suggestions for improving our software ("Feedback") to the Company, by the act of submission or suggestion you effectively irrevocably assign to the Company all right, title and interest throughout the world in the Feedback without the right to any compensation or royalties from us and, to the extent allowed by applicable law, you waive any moral rights you may have in the Feedback.

11. DISCLAIMER OF WARRANTIES
The Company expressly disclaims any warranty for the software. The software and related documentation are provided “as is,” without any express or implied warranty, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the software will function properly if automatic updates for MacKeeper Lite are disabled, as described in the “Updates and Upgrades” section of this Agreement. No advice or information, whether oral or written, from us or any authorized representative creates a warranty. Additionally, this warranty does not cover disruptions in telecommunications or internet services caused by third parties or events beyond our control. You assume all risks associated with the software’s use or performance.

12. LIMITATION OF LIABILITY
You agree that, to the fullest extent permitted by law, the Company and its affiliates, including their officers, directors, employees, agents, representatives, suppliers, licensors, and contractors, are not liable for any loss or damage—whether direct, indirect, incidental, consequential, or punitive—arising from your use of the software or related to this license. In all cases, the Company’s total liability under this license is limited to the amount you paid for the MacKeeper Lite subscription.

13. SUPPORT LIMITATIONS
We will make reasonable efforts to provide email and chat support for basic software usage. However, we may discontinue support for older software versions when a new version is released.

14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless us, our affiliates, and their officers, directors, employees, agents, and suppliers against any claims, damages, or expenses (including reasonable attorney’s fees) arising from your breach of this license, infringement of third-party rights, legal violations, or misuse of MacKeeper Lite. We may, at our own expense, assume exclusive control of any defense or settlement negotiations, and you agree to cooperate as needed.

15. TECHNICAL INFORMATION
We may collect and use technical data about your device and software to improve the software, provided this data does not personally identify you. We will not have access to the contents of your files or folders when collecting such information.

16. TERMINATION
By Company: We may terminate your software access for violations of this Agreement or any other reasons. Termination may occur with prior notice, and we are not liable for any resulting consequences. Upon termination, you must uninstall the software and delete all copies.
By You: You may terminate this Agreement at any time by discontinuing use, deleting your account, suspending your subscription, and uninstalling the software. For more information, you may email us at support@mackeeper.com.
Licensor will use commercially reasonable efforts to provide Licensee with email and chat support pertaining to the domain of basic usage of the software. Licensor reserves the right to cease offering support of any kind relating to the usage of older releases of the software whenever a new release of the software, whether for free or for pay, becomes available.

17. DISCOUNTS
Discount coupons allow for a one-time license purchase at a reduced price and do not apply to subscription extensions or renewals. Our customer support may provide a one-time discount, which cannot be requested again.

18. FORCE MAJEURE
We are not liable for delays or failures to meet obligations due to events beyond our control, including power or internet outages, cyber attacks, natural disasters, acts of war, pandemics, strikes, or other industry-unforeseen events.

19. MISCELLANEOUS
Your purchase or payment terms, or any other general conditions, do not apply. This Agreement is the full agreement between you and the Company for MacKeeper Lite, overriding any prior communications. If any provision is deemed unenforceable, remaining terms continue in effect, and the affected term will be adjusted as needed to comply with applicable law.

20. SEVERABILITY
If any part of this Agreement is found invalid or unenforceable, the rest remains effective.

21. THIRD-PARTY BENEFICIARY
MacKeeper Lite includes third-party software, including the Bitdefender engine by Bitdefender S.R.L. which is subject to its own terms. By installing Internet Security features, you confirm agreement to Bitdefender’s terms. If you do not agree with any terms, please refrain from installing MacKeeper Lite. The respective third-party provider is an intended beneficiary of this Agreement, with the right to enforce its terms.

22. EXPORT REGULATION
The software and Documentation may be subject to export laws and may not be exported, re-exported, or accessed in restricted countries without compliance with applicable regulations. You agree to adhere to all relevant laws and obtain any necessary licenses before making the software available internationally.

23. PRIVACY
We care about data privacy and security. Please review our
Privacy Policy. By using the software, you agree to be bound by our policy, which is incorporated into this Agreement. -
24. GOVERNING LAW AND JURISDICTION, JURY TRIAL WAIVER
- If you are a resident of the European Union or United Kingdom, these Agreement is governed by and construed in accordance with the laws of England and Wales, to the exclusion of the conflicts of laws provisions thereof.In the event any disputes, differences or controversies arise between the Parties in connection with this Agreement, both Parties shall thoroughly explore all possibilities for the amicable settlement and attempt informal negotiations for at least 30 business days. In case an amicable settlement cannot be reached, all disputes or controversies arising out of or in connection with these Legal Terms shall be referred to and finally resolved by arbitration in London under the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause. The seat, or legal place, of arbitration shall be London. The language of the arbitration shall be English, and the number of arbitrators shall be one.
- If you are a resident of the United States of America, then the laws of the State of California are applicable for you. The United Nations Convention on Contracts for the International Sale of Goods and similar laws in other jurisdictions do not apply. To streamline dispute resolution, both parties agree to attempt informal negotiations for at least 30 business days. If negotiations fail, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator chosen by us and will take place in California or another US location chosen by us. The arbitrator will apply California laws unless otherwise determined by us. The arbitrator's decisions are binding and enforceable in court.
- Class Action. Additionally, both parties waive their right to participate in class action lawsuits and agree to resolve disputes individually rather than as part of a class action.
